Apollo, Gabriel, Warren Tea in focus on July 1 amid major business restructuring

Apollo Hospitals, Gabriel India, and Warren Tea announce merger and demerger.

The board of Apollo Hospitals Enterprise has approved a separate listing of its omnichannel pharmacy and digital health businesses within 18-21 months as part of a reorganisation exercise to unlock value. The board of directors of Apollo Hospitals and Apollo HealthCo, a subsidiary of the healthcare major, have accorded in-principle approval for the composite scheme of arrangement. The scheme entails the demerger of the Omni Channel Pharma and Digital Health business — comprising the telehealth business of Apollo and its investment in AHL (Apollo HealthCo Limited) — into a new entity. Following the demerger, the scheme provides for the amalgamation of AHL with the new entity.

The Board of Directors of Gabriel India Ltd has approved a composite scheme of arrangement involving Gabriel India Limited, Asia Investments Private Ltd and Anchemco India Pvt Ltd. This scheme will result in the vesting of automotive business undertaking of AIPL comprising of business of Anchemco (engaged in manufacturing of brake fluids, radiator coolants, diesel exhaust fluid (DEF) / ad-blue, and PU/ PVC based adhesives) and investments in Dana Anand India Private Ltd, Henkel ANAND India Private Limited and ANAND CY Myutec Automotive Private Limited (Demerged Undertaking) into Gabriel. Gabriel will issue 1,158 equity Shares of ₹1 each for every 1,000 equity shares of ₹10 each held in AIPL to the shareholders of AIPL.

The board of Warren Tea has approved a scheme of arrangement for the proposed amalgamation/arrangement of the company with Maple Hotels & Resorts Ltd. Based on the reports of the independent valuers; the board has approved for every share of Warren Tea held one equity share of Maple Hotels & Resorts Limited will be issued.
