Persistent Systems to absorb Capiot Software after NCLT approval – CNBC TV18
Persistent Systems Ltd has secured approval from the National Company Law Tribunal (NCLT), Mumbai, for the merger of its wholly-owned subsidiary, Capiot Software Private Limited.
The order, dated 9 April 2025, was received by the company on Friday, marking a key step in the consolidation of its group structure.
The merger, initially announced in January 2024, is intended to simplify corporate operations, eliminate redundancies, and unlock synergy benefits across the organisation. Capiot Software, which specialises in software development and related services, will now be fully integrated into Persistent Systems.
The NCLT nod comes after a detailed review involving the Regional Director (Western Region) of the Ministry of Corporate Affairs and the Official Liquidator. Persistent stated that it has addressed all observations raised during the process and will comply with all legal requirements.
The appointed date for the merger is set at April 1, 2024. The company believes the move will lead to improved operational efficiency, reduced administrative costs, and an enhanced customer delivery model.
Shares of Persistent Systems closed 3.23% higher at ₹4,545 on the BSE ahead of the announcement. The firm plans to file the certified order with the Registrar of Companies and update stock exchanges in due course.
